Terms & Conditions

Welcome to NextLanka. These Terms & Conditions ("Terms") govern your access to and use of the NextLanka website, platform, and services (collectively, the "Platform"). By creating an account, browsing, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About NextLanka

NextLanka is a business-to-business (B2B) wholesale marketplace that connects registered sellers with business buyers in Sri Lanka. NextLanka does not itself sell, own, store, or ship any products listed on the Platform. NextLanka's role is limited to providing the technology platform that enables sellers to list products and buyers to discover, communicate with, and purchase from sellers.

2. Account registration

To use most features of the Platform, you must register for an account as either a buyer or a seller. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your account credentials
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years old and have the legal authority to enter into a binding contract

3. Seller obligations

Sellers on NextLanka agree to:

• List products accurately, including correct pricing, descriptions, and availability
• Fulfil orders in a timely manner once a buyer has completed payment
• Comply with all applicable Sri Lankan laws relating to the sale of goods, including consumer protection and tax obligations
• Honor the subscription tier and product limits associated with their plan
• Handle payments through the integrated Stripe Connect system, and not circumvent the Platform's payment processing

4. Buyer obligations

Buyers agree to provide accurate business and delivery information, complete payment through the Platform's supported payment methods, and communicate with sellers in good faith regarding orders, quotes, and disputes.

5. Payments

Payments for products are made directly between buyers and sellers via Stripe Connect or other supported payment gateways integrated into the Platform. NextLanka does not hold or custody buyer funds intended for sellers. NextLanka generates revenue solely through seller subscription fees, as described on our Pricing page.

6. Prohibited conduct

You may not use the Platform to:

• List counterfeit, stolen, illegal, or prohibited goods
• Engage in fraudulent transactions or misrepresent your identity or business
• Circumvent platform fees by directing transactions off-platform after first contact
• Upload content that infringes intellectual property rights or applicable law
• Interfere with the security or normal operation of the Platform

7. Disputes between buyers and sellers

NextLanka is not a party to the contract of sale between buyers and sellers. Disputes relating to product quality, delivery, refunds, or order accuracy are the responsibility of the buyer and seller to resolve directly. NextLanka may, at its discretion, provide tools or assistance to facilitate communication during a dispute but does not guarantee resolution or compensation. See our Return Policy for more detail.

8. Account suspension & termination

NextLanka reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to other users of the Platform, with or without prior notice.

9. Limitation of liability

To the maximum extent permitted by law, NextLanka shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to losses arising from transactions between buyers and sellers.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
